1. About these terms
These Terms & Conditions ("Terms") govern your access to and use of the Mizada applications, this website and related services (the "Service"), provided by Mizada FinTech FZ-LLC, Dubai, UAE ("Mizada", "we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Definitions
- "You" means the individual or entity using the Service. If you use it for a business, you confirm you are authorised to bind that business.
- "Content" means the documents, data and information you upload or that the Service generates from them.
- "Output" means reports, statements, categorisations, drafts of filings and other results the Service produces.
3. Eligibility and your account
You must be at least 18 years old and able to enter a binding contract. You agree to provide accurate information, to keep your credentials and device secure, and to be responsible for activity under your account. Tell us promptly at contact@mizada.ae if you suspect unauthorised use.
4. The Service, and what it is not
Mizada is a software platform for financial reporting, analysis and document storage. Mizada is not a bank, payment service provider, money-services business, broker or financial intermediary. It does not hold client funds, move money, issue cards, provide credit, or execute transactions. References to banks, facilities or markets are for your information only and do not mean Mizada provides those services.
5. Your content and the licence you grant
You retain all rights in your Content. You grant Mizada a limited, non-exclusive licence to host, process and display your Content solely to provide and secure the Service for you (for example, to read documents, generate Output and store records). You are responsible for having the right to upload your Content and for its accuracy. You can export or delete your Content as described in our Privacy Policy.
6. Acceptable use
You agree not to:
- use the Service unlawfully, or to store or process content you have no right to;
- attempt to disrupt, probe, reverse engineer, or circumvent the security of the Service;
- upload malware or use the Service to infringe others' rights;
- resell or provide the Service to third parties except as we permit; or
- use the Service to launder money or for any fraudulent or sanctioned activity.
7. AI output, and no financial advice
The Service uses automated and AI-assisted processing. Output may contain errors and is provided to assist you, not to replace professional judgement. Output, including any research or market content, is not financial, investment, accounting, tax or legal advice. You are responsible for reviewing Output and for decisions you make. Where accuracy matters, consult a qualified professional.
8. Filings and your responsibility
Where the Service helps prepare returns or filings (for example, VAT or Corporate Tax), it generates drafts from your records. Nothing is submitted to any authority unless and until you confirm it. You remain responsible for the accuracy, completeness and timeliness of anything filed, and for meeting your own legal and tax obligations.
9. Availability, beta features and changes
The Service is provided on an "as available" basis and may be unavailable for maintenance or reasons beyond our control. We may add, change or remove features, and some features may be offered as previews or "beta" that are still in development. We will give reasonable notice of material changes that adversely affect you.
10. Fees
Pricing for the Service will be presented to you before any charge applies. Where paid plans are introduced, applicable fees, billing terms and any taxes (including VAT) will be set out at the point of purchase. Before launch, access may be free or limited to a preview.
11. Intellectual property
The Service, including its software, design, brand, the Mizada name and mark, is owned by Mizada or its licensors and is protected by law. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service as permitted.
12. Third-party services
The Service may link to or rely on third-party services (for example, app stores, identity providers or infrastructure). Your use of those services is governed by their terms, and we are not responsible for them.
13. Disclaimers
To the fullest extent permitted by law, the Service and Output are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that Output will be complete or accurate.
14. Limitation of liability
To the fullest extent permitted by law, Mizada will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising out of or related to the Service. To the extent we are found liable, our total aggregate liability arising out of or related to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or AED 500. Nothing in these Terms excludes liability that cannot be excluded by law.
15. Indemnity
You agree to indemnify and hold Mizada harmless from claims, losses and expenses arising from your Content, your use of the Service in breach of these Terms, or your violation of law or the rights of others.
16. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users, giving notice where reasonable. On termination, the licence you granted ends and you may export your Content for a reasonable period, after which we may delete it subject to legal retention.
17. Governing law and dispute resolution
These Terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Dubai. The courts of Dubai (or, where applicable to our free-zone registration, the relevant free-zone courts) have jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights you may have. We encourage you to contact us first so we can try to resolve any issue informally.
18. General
If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganisation or sale. These Terms, with the Privacy and Cookie policies, are the entire agreement between us about the Service. We may update these Terms; the current version will always be posted here, and continued use after changes means you accept them. Questions: contact@mizada.ae.
